Gesema Bankruptcy: Notice of Conclusion of Investigation to Former Administrators and Technicians

Notice of conclusion of investigations to former directors and technicians regarding the fraudulent bankruptcy case involving Gesema Ambiente e Patrimonio srl, an in-house company of the Municipality of Mercato San Severino, in the Salerno area, whose share capital was entirely owned by the local authority. The srl was declared bankrupt on February 7, two years ago, by the Court of Nocera Inferiore. The company managed waste collection and maintenance of municipal assets and was subject to the Municipality's control and the beneficiary of a service concession. Pursuant to a regulation and a 2009 City Council resolution, the mayor acted as the company's owner and manager, with representation at the shareholders' meeting and the power to appoint directors, the board of auditors, and the CEO. Investigations have shown that since 2010, Gesema had suffered a significant erosion of its share capital due to non-payments from the Municipality, the sole shareholder and sole user of the services. According to investigators, the local authority passed the costs of providing services onto the company, causing it to accumulate debt, without paying the fees for the services and allocating the resources needed to restore balance. The saved funds were used for various purposes, prosecutors say, "likely aimed at increasing visibility and building political consensus." This management continued for years, including falsifying accounting records, leading to Gesema's bankruptcy due to the failure to pay taxes and contributions, resulting in a tax debt of approximately €2 million. Furthermore, factoring contracts were entered into involving the assignment of unpaid receivables, resulting in increased costs, and a fictitious recapitalization with the transfer of properties owned by the authority, which housed schools and could not be used by Gesema. Shareholdings were subsequently sold off to other companies, sparking a legal case that is at the center of a pending proceeding before the Milan prosecutor's office, which has requested the precautionary seizure of two companies. Among the matters under investigation by the Salerno Guardia di Finanza (Financial Police) is the free transfer to the Mercato San Severino Municipal Theater Foundation, which never obtained legal status or registration in the specific register for the business unit comprising the tangible and intangible assets of the new municipal theater, namely the theater hall, the cinema, the conference room, and the dressing rooms and locker rooms. As a result, the bankrupt company was saddled with the management costs and obligations associated with the sold business complex.
